Terms of Service
These terms of service ("Terms") govern the use of the Katalyz.ai platform (the "Service") by any corporate customer (the "Customer"). By subscribing to or using the Service, the Customer accepts these Terms in full. This document is provided as a template and should be reviewed by counsel before being used contractually.
1. Definitions
- Katalyz: the company providing the Service, identified in our Legal Notice.
- Platform / Service: the SaaS software offering provided by Katalyz, enabling the deployment of an autonomous AI agent for collecting unpaid invoices (email, SMS, WhatsApp reminders, AI voice calls, payment-plan negotiation, dashboard).
- Customer: any legal entity having subscribed to the Service.
- Debtor: any contact whose collection is entrusted to the AI agent by the Customer.
- Collected Amount: any payment received by the Customer following the agent's intervention and beyond the contractual payment term.
- Success Fee: Katalyz's remuneration, calculated on Collected Amounts.
2. Purpose
These Terms define the conditions under which Katalyz makes the Service available to the Customer, as well as the parties' reciprocal rights and obligations.
3. Subscription
The Service is reserved for businesses (B2B). Subscription is completed online or by signed agreement. The Customer warrants having legal capacity to bind the represented company.
The Customer must provide accurate information at subscription and keep it up to date. Any false declaration may lead to immediate termination.
4. Service Description
Katalyz provides a configurable AI agent that handles the amicable collection cycle for the Customer's receivables: invoice analysis, multi-channel reminders, payment-agreement negotiation, follow-up. The exact scope (active channels, accounting integrations, voice call options) is defined during onboarding.
The Service is delivered in SaaS mode with a target availability of [99.5% — to be confirmed], excluding scheduled maintenance and force majeure.
5. Pricing
Pricing model: the Service is billed under a "success-fee" model. No fixed subscription is required.
Commission rate: [XX%] excl. VAT applied to Collected Amounts beyond the Debtor's contractual payment term. This rate may vary depending on processed volume and is detailed in a grid communicated upon subscription.
Invoicing: monthly, at month-end, based on the amounts actually collected during the elapsed month.
Payment: via SEPA direct debit or wire transfer, at [30] days from invoice issuance. Late payments automatically incur interest at the ECB rate plus 10 percentage points and a fixed recovery fee of €40 (French Commercial Code).
6. Customer commitments
- Provide accurate data regarding invoices and Debtors.
- Warrant having the right to transmit Debtor data to Katalyz for collection purposes (GDPR legal basis).
- Not use the Service for unlawful, fraudulent or improper purposes.
- Inform Katalyz without delay of any direct payment received after the agent's intervention, to enable accurate invoicing.
- Not attempt to disassemble, copy or circumvent the technical protections of the Service.
7. Katalyz commitments
- Provide the Service professionally and in accordance with industry best practices.
- Implement security measures consistent with the state of the art (see GDPR page).
- Adopt an empathetic approach in reminders: the AI agent respects Debtors' dignity, avoids undue pressure, and preserves the Customer's business relationships.
- Comply with the legal obligations applicable to amicable debt collection (French Consumer Code).
8. Intellectual Property
The Service, its code, interfaces, AI models and the Katalyz brand remain the exclusive property of Katalyz. The Customer benefits from a personal, non-exclusive, non-transferable right of use for the duration of the contract.
The Customer retains ownership of its data (invoices, contacts, content). Katalyz benefits from a limited license to use such data solely for the purposes of providing the Service and for anonymized improvement of its models.
9. Personal Data
Personal data processing under the Service is governed by our Privacy Policy and a Data Processing Agreement (DPA) compliant with Article 28 GDPR, concluded between Katalyz (processor) and the Customer (controller).
10. Confidentiality
Each party agrees to keep confidential the non-public information exchanged in the context of the Service, and to use it solely for the purposes of contract performance. This obligation survives for 3 years after contract termination.
11. Limitation of Liability
The Service is provided "as is". Katalyz does not guarantee any specific collection outcome. Katalyz's liability, whatever the cause, is limited to the amount of commissions actually received over the 12 months preceding the triggering event. Katalyz cannot be held liable for indirect damages (loss of revenue, reputational damage, loss of recoverable data, etc.).
12. Term and Termination
The contract is concluded without minimum term, unless otherwise agreed. Each party may terminate the contract at any time, in writing, with [30] days' notice. In case of material breach, the non-breaching party may terminate the contract by operation of law, after a formal notice that remains unaddressed for [15] days.
Upon termination, the Customer may export its data for 30 days. After that, data is deleted, subject to statutory retention obligations.
13. Force Majeure
Neither party shall be liable for any failure resulting from a force majeure event within the meaning of Article 1218 of the French Civil Code.
14. Changes to the Terms
Katalyz reserves the right to amend these Terms. Any substantial change will be notified to the Customer by email at least 30 days before its entry into force. The Customer may then terminate the contract without penalty if the changes are unsatisfactory.
15. Governing Law & Jurisdiction
These Terms are governed by French law. In the event of a dispute, the parties shall endeavor to reach an amicable settlement. Failing that, any litigation shall be submitted to the exclusive jurisdiction of the courts of Katalyz's registered office, including in case of warranty claims or multiple defendants.
